By submitting, posting, or uploading any and all photos, videos, images, comments, or other content on any social media platform and tagging it with #YesMidnightStation or another hashtag indicated by Midnight Station (“Your Content”), you hereby grant Midnight Station a perpetual, non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, copy, publish, distribute, display, broadcast, modify, publicly perform, and create derivative works of any of Your Content, in whole or in part, in any media now existing or later developed, for any purpose, without any compensation, liability, or obligation to you, including without limitation, the advertising and promotion of Midnight Station and its products and services. 

To the extent Your Content contains images, you represent and warrant that: (a) you are the copyright owner or have obtained the copyright owner's permission to use such images; (b) you hold the rights necessary to grant the licenses and sublicenses described in these User Generated Content Terms of Use; and (c) you have obtained the consent of each person, if any, depicted in such images. By submitting, posting, or uploading Your Content, you represent and warrant that you have the lawful right to transmit, distribute and reproduce such content and you are 18 years of age or older. You agree not to submit, post, or upload Your Content that you do not wish to license to us, including any confidential information.

You further grant Midnight Station the right to include the name or handle provided with Your Content; provided, however, Midnight Station shall have no obligation to include such name or handle. Midnight Station is not responsible for the use or disclosure of any personal information that you voluntarily disclose in connection with any of Your Content.

You agree to release, indemnify and hold Midnight Station harmless from and against any claims resulting from Midnight Station’s use of Your Content, including without limitation for claims of copyright infringement, defamation, and/or any right of privacy or publicity.  In the event that Midnight Station, in its sole and absolute discretion, determines that Your Content is inappropriate or unsuitable, Midnight Station reserves the right, but does not undertake an obligation, to investigate and/or take action against you or Your Content, including removing or modifying Your Content and/or reporting you to law enforcement authorities. 

You agree that Your Content will comply with the following guidelines:

• Your Content must not violate any third-party right, including any intellectual property or proprietary right;

• Your Content may include additional persons but such persons must have expressly authorized the use of their images or likenesses;

• Your Content must not be unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, offensive, pornographic, or profane; and 

• Your Content must not contain or transmit any materials that contain software viruses or other computer code, files or programs designed to interfere with or cause harm to any of Midnight Station's technology.
